ProfilePartner.net – Master Service Agreement & Terms of Use

1. Legal Relationship
ProfilePartner.net operates as a platform that connects businesses (“Clients”) with independent LinkedIn Outreach Agents (“Profile Owners”) for compliant, human-led outreach activities. We are not affiliated, endorsed, or connected with LinkedIn Corporation. All Profile Owners provide informed consent and access under clearly defined usage controls.
ProfilePartner does not sell automation software and disclaims liability for LinkedIn’s enforcement actions.
2. Acceptance of Terms
By using any services provided by ProfilePartner.net, including placing an order, onboarding a profile, or accessing the platform, you confirm your full agreement to this legally binding agreement and all linked Terms and Conditions. Use of the platform constitutes electronic acceptance of this agreement.
3. Definitions
- Client: Any business or individual using ProfilePartner’s services.
- Outreach Agent (Profile Owner): A real human user who consents to perform outreach on their LinkedIn profile.
- Reseller/Affiliate: Anyone reselling ProfilePartner services under their own brand.
- Downtime: Any period during which a matched profile becomes restricted or unusable.
4. Services Provided
- Matching of Outreach Agents to clients
- Management of Agent profiles via secure environments
- Manual outreach support via real human agents.
ProfilePartner reserves the right to substitute or reassign Agents as necessary. ProfilePartner matches Outreach Agents (real individuals) with Companies who perform limited outreach through their LinkedIn profiles for outbound lead generation purposes. These Agents are real, human, owners of legitimate LinkedIn accounts, and used under permission-based agreements. We operate in a transparent and compliant manner, and all Outreach Agents are fully aware of their participation. We do not impersonate or forge identities. Each Outreach Agent provides informed consent and retains full control over their account.
We do not allow or support the use of prohibited automation tools or non-compliant software that violate LinkedIn’s Terms of Service.
5. Usage Responsibility
All parties agree that the use of ProfilePartner’s services is entirely at their own risk.
Clients agree to:
- Use approved outreach practices that are compliant and permitted within LinkedIn’s Terms of Service
- Avoid unsafe automation tools or prohibited software that are against LinkedIn’s Terms of Service
- Not modify device/IP/login without approval
- Report any restriction within 48 hours with required evidence
Misuse may result in service suspension, no refunds, and denied credit eligibility.
Disclaimer: Any client, partner or reseller using or selling automation tools, scraping software, or third-party browser extensions does so entirely at their own risk. ProfilePartner is not affiliated with LinkedIn and assumes no liability for any restrictions, penalties, or enforcement taken by LinkedIn. Clients acknowledge and accept that LinkedIn’s enforcement actions are beyond the control of ProfilePartner. Clients waive any right to hold ProfilePartner liable for actions taken by LinkedIn including but not limited to: account restriction, suspension, or deletion.
6. Profile Matching, Downtime, and Recovery Policy
- Profiles are matched within 3 business days of payment – Clients may not choose specific agents unless explicitly allowed.
- If no profile is delivered in 7 business days (and the delay is not due to client), a full refund may be requested
- If a profile is restricted:
- Clients may receive one courtesy replacement per profile license (dependent on full evidence that misuse such as automation was not used as the caused for the restriction)
- If replacement is declined, client may wait for recovery of the Agent’s account to be operational (7–10 business days)
- No credit is issued for time waiting for recovery unless restriction exceeds 10 business days (in first month only). And automation or misuse was not the cause of the restriction on the Agent’s account.
7. Downtime Credit & Refund Policy
A. Credit Eligibility (Hybrid Model)
Credits start on Business Day 11 of confirmed downtime, with two options:
- Time-Based Extension: Extra days added to the subscription
- Invoice-Based Discount: Credit deducted from next month’s invoice
Credit is available only if:
- Issue is reported within 48 hours
- No misuse or unauthorized tools were used (such as LinkedIn automation tools)
- Is the first restriction for that agent (we do not provide consecutive credit – if prohibited services such as automation is in use on the account)
B. Refund Eligibility
Refunds are granted only if:
- No profile is delivered within 7 business days AND delay is ProfilePartner’s fault
- Profile is inaccessible for the full first 7 days after matching AND replacements fail
C. Ineligibility
Refunds/credits are not granted for:
- Misuse or automation detected
- Repeated misuse causing 2+ profile restrictions in 30 days
- Failure to report issue within 48 hours
8. Subscription & Billing Terms
- Subscriptions are billed upfront and renew every 30 days
- Warm-up periods are included in billing
- Paused or restricted profiles are not refunded
- All credits are non-monetary, non-transferable, and expire within the billing cycle
- Credit cannot be carried over to a following month
- Credit or refund requests cannot be back-dated – they must be reported within 48 hours of the issue occurring to be valid.
9. Chargeback & Dispute Waiver
Clients agree to:
- Not initiate chargebacks without first completing the ProfilePartner dispute process
- Accept that LinkedIn enforcement actions are not under ProfilePartner’s control
- Pay recovery/legal/collection fees if chargebacks are filed without cause or valid evidence and chargeback fraud can be found against them
Failure to comply may result in service termination and official legal enforcement by ProfilePartner’s legal team.
10. Profile Owner Terms
- Profile Owners are independent contractors
- They may revoke access at any time with 1 months’ notice
- ProfilePartner handles payouts and proxy setups
Clients agree that profile use is licensed, not owned, and that agents may change or withdraw without liability to ProfilePartner.
11. Reseller, Affiliate, and White Label Terms
Resellers must:
- Enforce ProfilePartner usage rules with clients
- Not overpromise uptime, refunds, or automation compatibility
- Ensure Automation is not used and if used is done solely at their risk
- Accept that each license includes only one replacement
- Be responsible for their own billing cycles and downstream communication
12. Termination & Cancellations
- 30 days’ written notice is required to cancel. All charges within that period must be paid in full to cover the cancellation period.
- ProfilePartner may terminate service for misuse, fraud, or multiple restrictions
- All fees during notice period are still billable
13. Binding Effect of Use & Purchase
By placing an order, accessing services, receiving profile access, or benefiting in any way from ProfilePartner’s services, the Client, Reseller, or Affiliate acknowledges and agrees to be legally bound by the full Terms & Conditions outlined herein, regardless of whether a physical or electronic signature is provided.
Continued use of the service constitutes full acceptance of this Agreement and its enforceability under the laws of England & Wales and the UAE.
Failure to read or sign this agreement does not exempt the user from liability or legal obligation.
14. Legal & Jurisdiction
This agreement is governed by the laws of England & Wales. All legal disputes shall be resolved under the jurisdiction of courts in England.
All users accept that continued use of the service constitutes full acceptance of these terms, whether or not they sign physically or electronically.
